Standard setting and exclusion system of shareholders' voting rights in limited liability companies
摘要
Abstract
The limited application is a legislative shortage on exclusion system of shareholders'voting rights in lim-ited liability companies,which should be expanded to meet the practical demands.The exclusion of shareholders' voting rights is partly due to serious conflicts of interest between corporation and shareholder.Meanwhile,more au-tonomous right should be given to limited liability companies.The exclusion of shareholders'voting rights is permit-ted promissory application by articles of association or the resolutions of shareholders meeting,as well as opt out the statutory situations.The exclusion of voting rights of those who are defective capital contribution is corresponding to the constrained shareholder status,which would be properly interpreted by legal hermeneutics.关键词
