铁路企业开展基础设施公募REITs的研究初探OA
Preliminary Study on Railway Enterprises'Implementation of Public Offering of REITs in Infrastructure Field
近年来,实体产业发展亟需资金注入,如何获取低成本融资以实现纾困增效是当前迫切需要解决的难题.债务融资与权益融资是金融市场上两种主要融资渠道,金融机构贷款、发行股票、设立基金、发行债券等是常用的融资工具.《关于推进基础设施领域不动产投资信托基金(REITs)试点相关工作的通知》(证监发[2020]40号)的下发,对促进基础设施实体产业发展起到了推动作用.介绍了REITs国内外发展现状,并基于铁路行业简要介绍基础设施公募REITs的发行运作流程、参与主体和发行运营中值得关注的重点问题.结合铁路企业的实际情况,论述了发行基础设施公募REITs作为探索铁路资产资本化股权化证券化的主要途径之一,以及其对铁路行业的实践意义,并探讨了目前发行存在的障碍以及对铁路企业未来发展的期望.
In recent years,the development of the entity industry urgently needs capital support.How to obtain low-cost financing to achieve bailout and efficiency improvement is an urgent problem that needs to be solved at present.Debt financing and equity financing are the two main financing channels in the financial market.Loans to financial institutions,issuance of stocks,establishment of funds,and issuance of bonds are commonly used financing tools.The issuance of the Notice on Promoting the Pilot Project of Real Estate Investment Trusts(REITs)in the Infrastructure Field has promoted the development of the infrastructure industry.This paper introduced the development status of REITs in China and abroad,as well as the process of issuance and operation,participants,and key issues of issuance and operation of public offering of REITs in the infrastructure field of the railway industry.According to the actual situation of the railway enterprises,this paper discussed the practical significance of issuing the public offering of REITs in the infrastructure field,as one of the main ways to explore the capitalization,stocklization,and securitization of railway assets,for the railway industry.In addition,this paper discussed the obstacles existing in the current issuance and the expectations for the future development of railway enterprises.
