Research on the Dual Disadvantages and Remediation of Corporate Compliance Intelligence After Reverse Cross Border Mergers and Acquisitions

Abstract
[Research purpose]The events such as the"US ban on Huawei"are not only a manifestation of the disadvantage faced by for-eign companies after reverse cross-border mergers and acquisitions,but also a typical case of encountering source side disadvantages.How to fundamentally clarify and prevent these two disadvantages has become an urgent problem for compliance intelligence to solve.[Re-search method]Based on the perspectives of competitive intelligence and organizational identity theory,taking Huawei's obstruction in the United States as the research object,this study uses exploratory single case and grounded theory methods to identify the formation mechanism and interaction mechanism of external and source disadvantages in corporate compliance intelligence.[Research result/con-clusion]The disadvantage faced by external parties in compliance intelligence after reverse cross-border mergers and acquisitions is induced by deficiencies in compliance information,leading to confusion of organizational identity and ultimately reducing the legitimacy of compet-itive intelligence;The disadvantage of the source party is induced by the impression of the source party,which creates organizational iden-tity stigma and undermines the compliance of competitive intelligence.The research conclusion elucidates the underlying logic of the differ-ences in two types of disadvantages,and demonstrates the inherent risk mechanism of compliance intelligence management.Based on this,suggestions for repairing the two disadvantages are provided from two aspects:providing sufficient legal information and strengthening pos-itive compliance impressions,providing reference value for preventing compliance risks in the reverse cross-border mergers and acquisi-tions process of Chinese enterprises.关键词
